The services offered by the Office mainly include the areas of corporate law, M&A and joint venture transactions, banking, privatization, competition law, mergers of joint stock companies and economic and commercial dispute resolution.
In addition, the Office offers all other legal services in the areas of economic, commercial and civil law.
The Office mostly represents foreign clients, such as embassies, international financial institutions, foreign banks, international organizations, multinational corporations, international non-profit organizations and other similar clients.
The Office actively participated in the Corporate Governance Project which was financially supported by USAID in B&H. The Project’s Working Group, composed of the representatives of different B&H independent institutions, made proposals for some new legal frameworks in the area of corporate governance, which were eventually adopted within a regular legal procedure.
The Office lawyers also took part in regional roundtables discussing this area of law.
Having such knowledge in this subject matter, the Office primarily focuses on the corporate law practice which makes a major area of its business. The clients that we advise and represent in the process of investing in B&H remain our regular clients for whom we provide legal advice on all aspects of corporate law on a daily basis.
PRIVATIZATION / ACQUISITION / INVESTMENTS
The Office, both independently and in cooperation with other international law firms, has been engaged in a number of privatization projects that included the companies from different industry sectors, as well as the most significant state-owned banks in Bosnia and Herzegovina.
The Office participated in the working group established by the Ministry of Finance of the Federation of Bosnia and Herzegovina to draft the privatization regulations related to the bank privatization process.
Furthermore, the Office provided legal advice to its international clients within numerous projects of acquisition of local companies and banks, i.e. acquisition of majority interest in such companies and banks.
The Office, also, provided many services related to the joint venture transactions of the local and foreign investors, as well as independent business transactions in B&H. The clients that we provided, or still are providing with these services are, inter alia, multinational companies, financial institutions, international airline companies, and other investors.
Among the most significant projects in the banking area were those related to the privatization of Privredna banka d.d. Sarajevo Group, Ljubljanska banka d.d. Sarajevo, Poštanska banka d.d. Sarajevo, and the acquisition of the majority interest in Upi banka d.d. Sarajevo, Hercegovačka banka d.d. Mostar and Zepter banka d.d. Banja Luka.
In the area of commercial and service-related activities, the most significant projects are Telekom Srpske d.d. Banja Luka, Energopetrol d.d. Sarajevo, Tvornica cementa Kakanj d.d. Kakanj, Sarajevo osiguranje d.d. Sarajevo, Croatia osiguranje d.d. Zagreb.
The Office regularly provides legal advice to the largest international financial organizations and banks in their financing projects related to commercial and banking sector in B&H.
Among other services in this area, the Office offers legal advice related to compliance of different types of finances-related contracts/agreements with the local mandatory law, carry out due diligence in local companies and banks for the purpose of their financing, as well as contracting services and registration of different types of collaterals, and also provides legal opinions for the needs of creditors.
Legal services include providing advice in relation to the capital market issues.
The Office offers services related to the transactions which may require application of competition regulations in B&H. As these regulations are quite recent, there are numerous dilemmas emerging in the practice related to their application, which makes these services complex and demanding.
The clients are provided with the services of obtaining concentration clearance, and the advice on all aspects of the competition law. The website of the Competition Council of B&H contains some of the actual cases in which Office represented clients in proceedings before the Competition Council.
The Office provides legal services of representing the clients in the procedures of liquidation and bankruptcy of local companies and banks.
The Office represented the interests of a larger group of international creditors (27 of them) in the liquidation procedure of SAB banka d.d. Sarajevo, and has carried out numerous liquidations of local companies.
The Office founder, Bojana Tkalčić-Đulić, prior to her engagement in the private legal practice, was a long-standing judge at the courts of different types and instances, with practice in civil, commercial and labor-related disputes resolving.
Representing clients in court cases of this kind makes an important part of the Office’s business activities, however, our engagement in dispute resolution primarily relates to representation of interests of our regular clients and engagement in high-value commercial court cases.
